    Bachelor's degree in Law, Political Science, Legal Management or equivalent

    With 1-3 year of experience specialized in Law/legal services/labor relations(Open to New Board Passer)

    Knowledgeable with Philippine Labor Laws, Legal forms, and complaints requirements

    Good interpersonal, communication and motivational skills with a flexible, enthusiastic and committed attitude to work

    Ability to train others

    Position Summary

    A Legal Officer is responsible for providing effective legal services to other key departments such as preparing of contracts and written correspondences to third parties; ensuring compliance with applicable laws and company documents; and providing legal advice.

    Job Description

    Responsibilities include, but are not limited to, the following:

    1. Contracts Management

    a. Draft, review, revise and finalize contracts, amendments, supplements, consents/waivers, and written correspondences/letters and other legal documents;

    b. Participate in contract negotiations including negotiate and recommend terms and conditions with legal consequence/s;

    c. Assess legal implications of the contract terms and conditions that need to be brought to the management’s attention;

    d. Prepare the necessary transaction checklist to be adopted for major project documents to ensure that the required deliverables are submitted on time;

    2. Regulatory Compliance

    a. Review applications for permits/licenses and supporting documents, including renewals thereof;

    b. Continuously monitor compliance with statutory requirements and regulatory issuances and provide legal advice to the management accordingly;

    3. Partnership/corporate housekeeping

    a. Draft/review of Articles of Partnership, Articles of Incorporation and By-laws and other relevant registration/incorporation documents;

    b. Attend Board and Management Committee meetings and draft/review Minutes of the Meeting;

    c. Draft/review resolutions and secretary’s certificates;

    d. Serve as a liaison for Management Committee representatives, Board Directors, officers and authorized representative of the partners/owners;

    e. Maintain key partnership documents and records;

    f. Draft/review partnership certificates and monitor transfer of partnership interests/shares of stocks;

    g. Draft/review reports to the Management Committee/Board of Directors;

    4. Case Management

    a. Draft, review, revise and finalize pleadings, motions, judicial affidavits, and other documents filed with courts, quasi-judicial agencies, regulatory agencies, administrative agencies and other government agencies;

    b. Attend hearings/conferences in courts, quasi-judicial agencies, regulatory agencies, administrative agencies and other government agencies;

    c. Review process and progress of pending/threatened cases and liaise with and manage external counsels;

    5. Legal Risk Management

    a. Conduct legal research and prepare write-up/s for the management;

    b. Render legal advice (verbal and written);

    c. Liaise with relevant departments to ensure that appropriate courses of action have been/will be taken in cases legal risks are identified;

    d. Provide legal protection and risk management advice to the management;

    e. Provide legal information and disseminate appropriate legal requirements to relevant key departments;

    6. General Duties

    a. Liaise, coordinate, and communicate with third parties and external counsels;

    b. Coordinate with different departments on their compliance and deliverables under the law, equity and financing documents and project documents;

    c. Manage and respond to queries/concerns of principals;

    d. Process agreements, resolutions, notices, consents, and other documents and matters for management approval; and

    e. Attend meetings and participate in conference calls.
